Remarks

The assets of the Fund are prevalently invested in Italian companies with revenues between 100 Mln Euro and 2 Bln Euro (i.e. medium-large sized companies) and value creation potential. To achieve the purpose of the Fund, the Management Company invests on the basis of the following main criteria: (i) diversification of investments, ranging mainly from 50 Mln Euro to 250 Mln Euro; (ii) active minority/partnership investments or majority investments, providing for various degrees of influence over the portfolio companies through governance mechanisms; (iii) investments aimed at supporting and accelerating portfolio companies’ growth, either through organic growth, acquisitions and sector/value chain consolidation; (iv) investments with
limited/no recourse to financial leverage or, in any case, consistent with the growth and buy and build plans of the portfolio companies; (v) holding periods consistent with the portfolio companies’ development plans; (vi) various exit routes including initial public offering.
